RSSM ANNOUNCES THE ADDITION OF MILLER, ELLIN & COMPANY, LLP

NEW YORK, NY – January 1, 2009 - Rosen Seymour Shapss Martin & Company LLP (“RSSM”), Certified Public Accountants and Profitability Consultants, and Miller, Ellin & Company, LLP (“Miller, Ellin”), Certified Public Accountants are pleased to announce the joining of their practices effective January 1, 2009.  The firm will operate under the name Rosen Seymour Shapss Martin & Company LLP.  The merger adds almost 40 additional, of which 5 are partners and 2 are principals.

Founded in 1968, Miller, Ellin, with an office in New York City, has been a leading local firm.  The firm has provided accounting, tax and business consulting services to businesses both public and private and high net worth individuals.

“Because of the similarities between our two firms, the merger with Miller, Ellin was a natural step.  This merger enables us to enhance our service commitment to our clients. Miller, Ellin will now be able to offer their clients expanded premiere accounting, auditing and tax services”, said Martin L. New Partners

Michael Bernstein, CPA - Vast experience handling diverse clients including various services for public companies as well as initial public offerings, 10-Q and 10-K filings. Recognized expert in SEC and corporate finance.  Partner-in-charge of our consulting and due diligence services group.  Member of the AICPA & NYSSCPA.  Education includes BBA and Graduate School in Accounting.
 
Bernard P. Lewites, CPA - Broad experience in public accounting handling diverse clients.  Specializing in audits, but responsible for all client needs including consulting and tax services.  Responsible for all second partner and SEC review functions.  Member of the AICPA & NYSSCPA.  Education includes a BBA in Accounting.

David W. Ostrow, CPA - Vast experience providing diverse services to a wide range of clients. He is an audit partner with over 35 years of experience.  He is a member of the AICPA and NYSSCPA. He has served on various committees of the NYSSCPA. Education includes BS in accounting.

Mitchell Rubin, CPA - Mr. Rubin is an audit partner with over twenty-five years experience.  His extensive experience includes handling a diverse spectrum of clients, including public companies.  He is responsible for all facets of client service, including consulting and tax services.  Mr. Rubin is a member of the AICPA and NYSSCPA.

Hilton L. Sokol, CPA, LLM - Extensive experience in public accounting, specializing in taxation with a concentration in estates and trusts.  He is a member of AICPA and NYSSCPA.  Education includes a BS in Accounting, a JD, and an LLM (taxation).

New Principals

Mark Peltz, LLM - Broad experience specializing in taxation with an emphasis on foreign matters.  Specifics include negotiations of foreign concession agreements, cross border financing, foreign tax credit considerations, and foreign tax transactional analysis.  Prior experience includes tax counsel of a major New York Stock Exchange company.  Education includes a BA, a JD, and an LLM in Taxation.  Member of the New York Bar Association - Tax Section.

Keith Stone, CPA - Over 16 years experience servicing a diverse client base of both public and private companies within a wide range of industries.  Specializes in audits, attest services and also assists in managing the consulting and due diligence services group.  Holds memberships in the AICPA, NYSSCPA, and the Association of Certified Fraud Examiners.  Education includes a BBA in Accounting.
